1. Introduction

These Contractual Terms and Conditions establish the general principles, rights, obligations and responsibilities governing commercial engagements between ROADRAK GROUP (Pty) Ltd and any client, employer, supplier, subcontractor, consultant, service provider or third-party entity.

These provisions shall apply unless superseded by a formally executed contract, purchase order, service level agreement, subcontract agreement or other legally binding instrument signed by authorised representatives of both parties.

2. Commercial Principles

2.1 Good Faith

All parties shall conduct business honestly, professionally and in good faith.

2.2 Compliance

Parties shall comply with all applicable South African legislation, industry regulations, safety requirements and contractual obligations.

2.3 Ethical Conduct

ROADRAK GROUP maintains a zero-tolerance approach toward corruption, fraud, bribery and unethical business practices.

5. Payment Terms

Payment periods shall be governed by the relevant contract, purchase order or service agreement.

ROADRAK GROUP reserves the right to withhold payment where supporting documentation, contractual requirements or performance obligations remain outstanding.

Late payments may attract interest where legally permissible.

6. Health, Safety & Environmental Compliance

All parties shall comply with applicable occupational health, safety and environmental legislation including site-specific requirements, risk assessments and operational procedures.

7. Confidentiality

Commercial, technical, financial and operational information exchanged during business engagements shall remain confidential unless disclosure is required by law or authorised in writing.

8. Limitation of Liability

ROADRAK GROUP shall not be liable for indirect, special, incidental or consequential losses except where required by applicable law.

9. Dispute Resolution

Parties shall first attempt to resolve disputes through good-faith negotiations before pursuing mediation, arbitration or litigation where appropriate.

10. Governing Law

These Contractual Terms & Conditions shall be governed by the laws of the Republic of South Africa.

Corporate Notice

ROADRAK GROUP reserves the right to amend these Contractual Terms & Conditions at any time. Updated versions will be published through official company channels and shall become effective upon publication unless otherwise stated.
